13. ‘x’ agreed to sell his property to ‘y’ vide an ‘agreement to sell’ dated on 17.10.2021 for a sum of Rupee 67 lakhs out of which Rs. 21 lakhs have been paid as earnests money. The balance amount has to be paid within a period of seven months from date of ‘Agreement to Sale’. Draft a comprehensive sale deed.

Sale Deed based on the facts about the agreement between ‘X’ (Seller) and ‘Y’ (Buyer):


SALE DEED

This Sale Deed is made on this [Day] day of [Month], [Year], at [Place].

BETWEEN

[X], son/daughter of [Father’s Name], aged about [Age] years, residing at [Full Address], hereinafter called the “Seller” (which expression shall, unless repugnant to the context, include his heirs, executors, administrators, and assigns);

AND

[Y], son/daughter of [Father’s Name], aged about [Age] years, residing at [Full Address], hereinafter called the “Buyer” (which expression shall, unless repugnant to the context, include his heirs, executors, administrators, and assigns).


RECITALS

  1. WHEREAS, the Seller is the absolute owner of the immovable property more fully described below and has clear and marketable title to sell the same.

  2. WHEREAS, the Seller and the Buyer entered into an Agreement to Sell dated 17.10.2021, whereby the Seller agreed to sell the said property to the Buyer for a total consideration of ₹67,00,000 (Rupees Sixty-Seven Lakhs Only).

  3. WHEREAS, as per the Agreement to Sell, the Buyer has paid ₹21,00,000 (Rupees Twenty-One Lakhs Only) as earnest money to the Seller, which the Seller acknowledges.

  4. WHEREAS, the balance consideration amount of ₹46,00,000 (Rupees Forty-Six Lakhs Only) was to be paid by the Buyer within a period of seven months from the date of the Agreement to Sell.

  5. WHEREAS, the Buyer has now paid the entire balance amount to the Seller on or before the execution of this Sale Deed.


DESCRIPTION OF THE PROPERTY:

NOW THIS DEED WITNESSETH AS FOLLOWS:

  1. Consideration
    The Seller acknowledges the receipt of the entire sale consideration amount of ₹67,00,000 (Rupees Sixty-Seven Lakhs Only), including the earnest money of ₹21,00,000 already paid.

  2. Transfer of Property
    The Seller hereby conveys, transfers, and assigns to the Buyer all his rights, title, interest, and ownership in the said property, together with all easements, rights, and appurtenances thereto belonging or appertaining.

  3. Possession
    The Seller shall hand over vacant and peaceful possession of the said property to the Buyer on the execution of this deed.

  4. Title and Encumbrances
    The Seller warrants that the said property is free from all encumbrances, liens, mortgages, charges, claims, or litigation, and the Seller shall indemnify the Buyer against any loss arising from any defect in title.

  5. Expenses and Taxes
    All expenses, taxes, rates, and outgoings payable up to the date of this Sale Deed shall be borne by the Seller. All future expenses, taxes, and liabilities shall be borne by the Buyer from the date of possession.

  6. Registration and Mutation
    The parties agree to execute all necessary documents and do all acts required for registration and mutation of the said property in the name of the Buyer at the Buyer’s cost.

  7. Governing Law and Jurisdiction
    This Sale Deed shall be governed by the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts at [Place].

A woman by the name of Sulbamal worked in an industry named Mount Stuart Estate which was related to planta- tion. 2. Sulbamal gave an application for maternity leave. The estimated period for delivery was 16-12-1967 and she deliv- ered the child on this very date. 3. Maternity benefit was given by way of salary for 72 work- ing days by the employer to the woman workman, but in this period Sunday being the holiday, was excluded by the employer. 4.
